What Is a Power of Sale?

In Ontario, a Power of Sale is a process that can allow a mortgage lender to sell a property after a borrower defaults, without the lender first becoming the owner of the property.

For a buyer, the transaction can look similar to a regular real estate purchase, but the terms of sale, representations, warranties and condition of the property may be different. That makes proper due diligence especially important.

Not every Power of Sale is a bargain.

The words "Power of Sale" don't determine whether a property is a good opportunity. Purchase price, comparable sales, property condition, potential repair costs and the terms of the transaction all need to make sense.

There can be opportunities in this part of the market, but each property should be evaluated on its own merits.

Potential Buying Opportunity

Some Power of Sale properties may be competitively positioned because the lender is seeking a sale and recovery of the debt. That does not automatically mean the property is below market value.

Less Emotion in Negotiation

Offers are generally being considered by a lender or its representatives, with price, conditions, closing terms and transaction risk playing an important role.

Opportunity to Add Value

Some properties require cosmetic improvements, repairs or updating. For the right buyer, there may be an opportunity to improve the property and create additional value.

Potentially Less Competition

Some buyers avoid properties involving additional complexity or more limited representations and warranties. That can sometimes reduce the buyer pool, although desirable properties can still attract significant competition.

Investor & Renovator Potential

Buyers who understand renovation costs, comparable values and risk can evaluate these properties based on the numbers rather than simply focusing on the asking price.

A Different Path Into the Market

Buyers willing to consider properties requiring work or less conventional sale terms can broaden their search beyond traditional turnkey listings.

The Important Part

The Opportunity Is in the Numbers — Not the "Power of Sale" Label.

A Power of Sale property isn't automatically a good deal. Purchase price, comparable sales, property condition, renovation costs, financing, closing terms and potential risks all have to be considered together.
